Clearsay Terms of Use

Introduction

Clearsay is a UK Business online review platform designed to find UK businesses and offer consumers to review businesses in a fair and transparent way.

When we refer to “our platform,” we mean the review platform hosted at Clearsay.co.uk , including any sub-domains, sub-directories, similar platforms, websites, or mobile apps operated by us. This includes all information, text, reviews, comments, images, data, or other content hosted on or related to the platform.

Before engaging with our platform, please read these terms of use (hereafter “terms”) to understand both your responsibilities and ours. These terms incorporate the following policies, which also apply to your use of the platform:

• Our Privacy Policy, which explains the data we collect and how we handle it
• Our Guidelines for Reviewers, which outline appropriate use.
• Our published policies and codes located at legal.clearsay.com

Your access to and use of our platform is conditional on acceptance of these terms. If you do not agree to or cannot comply with them, you must not use the platform. Use of the platform in any form constitutes agreement to these terms.

You affirm your acceptance by either:

• (a) browsing, accessing, searching, writing a review, or otherwise using our platform; or
• (b) clicking a box, button, or otherwise providing affirmative consent.

Defined terms in “quotation marks”retain the same meaning throughout this document.

1. Using Clearsay

You and Clearsay:
“We”, “our” and “us” refer to Clearsay and the entity providing access depending on your location. “You” or “your” refers to the individual or entity accessing or interacting with the platform, directly or indirectly (including via automated technologies).

Third-party Technologies:
We may present, use, or link to third-party technologies, products, or services. We assume no responsibility or liability for them and do not guarantee compatibility with your devices or network.

User Account:
To post, comment, like, flag, or take action (excluding browsing), you must create a user account. Only one account per user is allowed, and it must not be shared or transferred

You may sign in using your Facebook, Google, or email and a verification code.

Your username, visible publicly with any user generated content (UGC), must not include:

• Harmful, defamatory, or illegal terms;
• Terms like “Guest”, “Admin”, “.dk”, “.com”;
• Names or identifiers not belonging to you

You are fully responsible for access to your account. Do not share credentials, and inform us promptly of suspected misuse.

You must keep your account information accurate and up to date. You may change your username by logging in.

You may verify your identity through an optional process involving ID and selfie capture. This data is handled per our Privacy Policy.

2. Your Key Responsibilities

You agree to the following:

• Use our platform in line with these terms, Guidelines for Reviewers, and policies.
• Be at least 18 years old.
• Do not undermine platform security or functionality.
• Do not submit viruses, fake reviews, or deceptive content.
• Do not misuse intellectual property or impersonate others.
• Do not market, promote, or advertise through reviews.
• Do not copy, reverse engineer, or mine data from the platform.
• Do not behave abusively towards Clearsay employees, users, or partners.

3. Guidelines for Reviewers and Policies

You must comply with the Guidelines for Reviewers and policies published at legal.clearsay.com. These may be updated without notice and apply immediately.

4. Intellectual Property

All intellectual property rights on the platform (e.g., software, design, data, trademarks, databases) are owned or licensed by Clearsay. You may not use, copy, or distribute any part without written authorization, including other users' content.

5. Your Content

You own the user generated content (UGC) you submit and are responsible for its legality. Unless removed by you or by us (for violating terms or policies), UGC remains public and may appear on third-party services indefinitely.

6. Our Use of Your Content

By posting UGC, you grant Clearsay a worldwide, royalty-free license to use, distribute, publish, and adapt your content, including for syndication and commercial purposes. This includes the right to pursue copyright infringement actions.

7. Platform Activity Data

We collect data related to your usage of the platform (“platform activity data”), including analytics, behaviour, and derivative works. Clearsay retains exclusive rights to this data and may use it for any lawful purpose, such as service improvements or product development.

8. Feedback

We welcome your feedback and reserve the right to use it freely and indefinitely without compensation or acknowledgment.

10. Impartiality

Clearsay serves as a neutral intermediary. Users must only submit authentic, unbiased content that complies with our Guidelines. User views do not reflect the views of Clearsay.

Privacy and Confidentiality

11. Personal Data

All personal data collected through platform use is managed according to our Privacy Policy.

12. Confidentiality

Both parties agree to protect any confidential information shared. This excludes UGC, feedback, and platform activity data. Disclosure is permitted to affiliates, legal authorities, or for legal proceedings.

Account Suspension & Termination

13. Our Rights

We may filter or remove UGC and suspend or terminate accounts in case of repeated or serious violations, with or without prior notice.

14. Your Rights

You may delete your account at any time. All reviews linked to your account will be removed upon deletion.

Legal Disclaimers and Limitations

15. Limitation of Liability

To the extent permitted by law, Clearsay is not liable for indirect or consequential damages. Our aggregate liability to you is capped at £100.00 (GBP).

16. Platform “As Is”

The platform is provided “as is” with no warranties. We do not guarantee availability or error-free operation.

17. Indemnity

You agree to indemnify Clearsay and its affiliates against legal claims arising from your misuse or unlawful use of the platform.

19. Changes to Terms

We may update, suspend, or restrict platform access for operational reasons without prior notice.

21. Force Majeure

We are not liable for failures beyond our control, such as natural disasters or regulatory changes.

26. LEGAL ENTITY

These terms and any dispute or claim arising out of or in connection with them, their subject matter or their formation (including non-contractual disputes or claims) will be governed by Courts of England and Wales
